Companies, Branches and BOI Vehicles

This BCCT event will discuss the choice of investment vehicles that may be set up in Thailand, depending on the activities that a Thai or foreign investor may wish to carry on. There will be three short presentations as follows followed by an open forum:

1. Private Companies. Many will be familiar with the structure of a private company in Thailand i.e directors, signatory directors, shareholders, share capital and articles and memorandum of association. Note that there have been certain changes to company structure, that have taken place during the last 12 months or so. The basic structure and the recent changes will be discussed

2. Branch and Representative OfficesUnder what circumstances might a foreign company or a Thai company wish to set up a branch office in Thailand? The liabilities of the parent company in particular will be discussed. Representative Office. What are the activities that a Representative Office in Thailand may engage in?  Note that many investors misunderstand that an RO may not engage in the same activities that a RO in other countries may operate.

3. Special purpose vehicles set up under BOI rules. There are a significant number of special purpose vehicles that may be set up under Board of Investment rules, depending on the client’s purposes. Unless BOI permission or permission is obtained from another relevant agency to establish these entities, a foreign company may be subject to foreign ownership restrictions that may prevent the setting up of some of these vehicles.  For example:

  • A Distribution Centre
  • An International Distribution Centre
  • A Trade and Investment Support Office (TISO)
  • A Logistics Park
  • A  Digital Park
  • Research & Development
  • Vocational Training Centre
  • High Potential Institute for Higher Education
  • An International Business Centre (IBC)

The respective speakers for each of the three presentations above will be:

Presentation 1: The speaker will be Jirapong Sriwat, Partner of Nishimura

Presentation 3: The speaker will be Wichien Harnpraween, Managing Director of Wissen & Co

After the completion of the third presentation, there will be an open discussion with any of the speakers
